Terms of Service

Governing the use of Inventory Pro and related services provided by CISS Ltd.

Effective: April 24, 2026

1. Parties and Scope

These Terms of Service ("Terms") form a binding agreement between you ("Client") and Computerized Inventory Systems Specialists, Ltd., doing business as CISS Ltd., a Pennsylvania company headquartered at 1620 Pond Rd, Suite 200, Allentown, PA 18104-2255 ("CISS", "we", "us"). They govern your access to and use of Inventory Pro software, cloud-hosted services, mobile applications, REST API endpoints, and related documentation (collectively, the "Service").

By accessing or using the Service, you agree to these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization. These Terms supplement but do not replace any executed license agreement, statement of work, or order form between you and CISS. In the event of a conflict, the executed agreement controls.

2. Licensing

CISS grants you a non-exclusive, non-transferable license to use the Service for your internal business operations. You may not transfer, assign, rent, lease, or sublicense your license to any third party without prior written consent from CISS. Specific license terms, user counts, and billing arrangements are defined in your license agreement or order form.

3. Acceptable Use

You agree not to:

  • Reverse-engineer, decompile, disassemble, or create derivative works based on the Service or any component of it.
  • Copy the Service or accompanying materials except as permitted by your license agreement. You may make one backup copy of any locally installed software, provided it includes all original copyright notices.
  • Sublicense, resell, or redistribute access to the Service without written authorization from CISS.
  • Use the Service to store or transmit material that violates applicable law or infringes third-party rights.
  • Attempt to gain unauthorized access to other client instances, CISS infrastructure, or database servers.
  • Interfere with or disrupt the Service, including by introducing malicious code or excessive automated requests.

4. Data Ownership and Privacy

You own your data. CISS acts as a custodian, not an owner. We do not sell, rent, share, or monetize your data with third parties. Each cloud-hosted client receives an isolated database instance — your data is never commingled with other organizations. Clients may request a mutual non-disclosure agreement; CISS is willing to execute one as part of onboarding.

You may export your data at any time through Inventory Pro's built-in reporting tools. Full database backups are available on request. Upon termination, your data will be removed from our systems upon written request; backup copies will expire per their normal retention schedule.

5. Confidentiality

Each party agrees to treat as confidential any non-public information received from the other party in connection with the Service, including business data, technical specifications, and security configurations. Confidential information shall not be disclosed to third parties except as required by law, regulation, or court order, or as needed to perform obligations under these Terms (for example, to authorized sub-processors). This obligation survives termination.

6. Service Availability

CISS targets high availability for cloud-hosted instances and performs routine maintenance during off-peak hours with advance notice when possible. We maintain automated backups across multiple geographic locations. In the event of a significant outage, CISS will work to restore service and communicate status updates. CISS is not responsible for outages caused by events outside its reasonable control, including internet backbone failures, acts of government, or natural disasters.

Self-hosted clients are responsible for their own uptime, backups, and infrastructure management. CISS provides installation guidance and optional consulting services.

7. Security

CISS employs industry-standard security practices covering encryption of data in transit and at rest, access controls, network isolation, and regular backups. Each cloud-hosted client instance is isolated at the application and database level. For more detail, see our Architecture and Security & Compliance pages.

8. Support

Initial licenses include 30 calendar days of email and telephone support beginning on the activation date. Annual support plans provide continued assistance, software updates, and priority access. Support scope, response targets, and escalation procedures are detailed in your support plan agreement.

9. Intellectual Property

CISS retains all rights, title, and interest in the Service, including its source code, documentation, design, trademarks, and all copies of the software regardless of form or media. Your license does not convey ownership of any CISS intellectual property. Custom development work performed for your organization is governed by the terms of the applicable statement of work.

The Service may include third-party software components distributed under their own open-source licenses (such as MIT, Apache 2.0, or BSD). A list of these components and their licenses is available within the application. Your use of those components is subject to their respective license terms.

10. Warranty Disclaimer

The following disclaimer is required under applicable law and does not reflect our operational commitments described in Sections 6 and 7.

The Service is provided "as is" and "as available." To the maximum extent permitted by applicable law, CISS disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. CISS does not warrant that the Service will be uninterrupted or error-free. The entire risk as to the quality and performance of the Service remains with you.

11. Limitation of Liability

To the maximum extent permitted by applicable law, CISS's total liability under these Terms shall not exceed the fees paid by you in the twelve (12) months preceding the event giving rise to the claim.

CISS shall not be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, loss of business information, business interruption, or data loss, regardless of the theory of liability, even if CISS has been advised of the possibility of such damages. Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitations may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless CISS, its officers, and employees from claims arising out of your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party rights.

13. Term and Termination

These Terms remain in effect for the duration of your subscription or license. Either party may terminate for cause if the other party materially breaches these Terms and fails to cure within thirty (30) days of written notice. CISS may suspend access immediately if your use poses a security risk or violates Section 3.

Upon termination, your access to the Service will cease. Clients using self-hosted software shall destroy all copies of the software and accompanying materials in their possession. Sections 4, 5, 9, 10, 11, 12, and 15 survive termination.

14. U.S. Government Clients

The Service and accompanying documentation are provided with restricted rights. Use, duplication, or disclosure by the U.S. Government is subject to applicable federal regulations governing commercial computer software. Federal procurement is available through our GSA Schedule contract.

15. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in Lehigh County, Pennsylvania.

16. Modifications

CISS may update these Terms from time to time. Material changes will be communicated via email or notice within the Service at least thirty (30) days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

17. General Provisions

Severability. If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions continue in full force and effect.

Waiver. Failure by either party to enforce any provision of these Terms does not constitute a waiver of that party's right to enforce it in the future.

Entire Agreement. These Terms, together with any executed license agreement, order form, or statement of work, constitute the entire agreement between the parties with respect to the Service and supersede all prior discussions or understandings on that subject.
